About the Job:

As a Corporate Lawyer, you will be responsible for overseeing and managing all legal aspects of the company’s operations. You will ensure that TechUp Labs complies with corporate laws, regulations, and internal policies while providing counsel on legal risks and business strategies. This role offers the opportunity to work on exciting projects, draft and negotiate contracts, and collaborate with cross-functional teams in a dynamic environment, contributing to the growth of the organization.

Key Responsibilities:

• Provide legal advice and support on a wide range of corporate, commercial, and regulatory matters.
• Draft, review, and negotiate various types of contracts, including vendor agreements, partnership deals, and employment contracts.
• Ensure the company’s compliance with relevant laws, regulations, and corporate governance requirements.
• Assist in managing mergers and acquisitions, investments, and other corporate transactions.
• Advise on intellectual property matters, including licensing, trademarks, and patents.
• Manage litigation and dispute resolution processes, working with external counsel when necessary.
• Stay up to date on changes in legislation and regulations, ensuring proactive legal risk management.
• Collaborate with various departments, including finance, HR, and operations, to provide legal guidance and support.
• Assist in handling corporate filings, board resolutions, and general corporate housekeeping.
• Contribute to the development of internal policies and procedures to ensure compliance and mitigate legal risks.

Required Skills and Qualifications:

• Bachelor’s or Master’s degree in Law (LLB, JD) from an accredited institution.
• Proven experience in corporate law, preferably within an IT or product-based company.
• Strong understanding of corporate governance, commercial contracts, and regulatory compliance.
• Experience with mergers and acquisitions, intellectual property, and employment law.
• Excellent negotiation, communication, and legal drafting skills.
• Ability to analyze complex legal issues and provide practical, business-oriented solutions.
• Strong organizational skills with attention to detail and the ability to manage multiple legal matters simultaneously.
• Knowledge of risk management and mitigation strategies.
• Ability to collaborate effectively with cross-functional teams and external legal counsel.

Preferred Qualifications:

• Licensed to practice law in the jurisdiction(s) where TechUp Labs operates.
• Experience with legal aspects of SaaS agreements and technology-related contracts.
• Familiarity with privacy laws, including GDPR and CCPA compliance.
• Previous experience in advising startups or fast-growing companies.
• Strong understanding of intellectual property rights, trademarks, and patents.
